Terms of Use

Thank you for visiting https://www.activedefense.net (the “Site”), provided to you by Active Defense JV LLC (ADJV). Use of the Site is governed by these terms of use (the “Terms”), which includes the Site Privacy Policy (the “Policy”). By accessing and interacting with the Site, you agree to be bound by these Terms and, as applicable, the Policy. You should read these Terms and the Policy carefully prior to using the Site.  ADJV may modify these Terms and/or the Policy at any time, and any such modification(s) will become effective immediately upon ADJV posting the modified Terms or Policy to the Site.  ADJV encourages you to visit the Terms and Policy pages periodically to check for updates. 

Ownership

The Site and all material contained on or downloadable through the Site, including, but not limited to, text, images, documents, graphics, photos, video, audio, and other multimedia content (the “Site Content”), and all intellectual property rights embodied in the Site Content, are the exclusive property of ADJV or its licensors.  ADJV grants you a license to print out single copies of materials and documents available through the Site for your own personal or non-commercial use, but you may not modify (including, by way of example and not limitation, by removing or obscuring any copyright, proprietary right or trademark notice or legend from any Site Content), excerpt from or edit such Site Content, or further reproduce or distribute such Site Content.  Except for the limited reproduction rights granted to you in the immediately preceding sentence, you may not download, copy, or otherwise reproduce, publish, excerpt from, modify, edit, or distribute the Site Content without the prior, written permission of ADJV.

The posting of Site Content to the Site by ADJV does not constitute a waiver of any rights of ADJV or its licensors in the Site Content or transfer to you or anyone else any rights in or to the Site Content.  Without limiting the foregoing, no right or license is granted to you to use any trademarks or service marks of ADJV.

Limitation of Liability

IN NO EVENT SHALL ADJV, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS, OR ANY OTHER PARTY PURPORTING TO CLAIM THROUGH ANY OF THE FOREGOING, BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY TYPE WHATSOEVER ARISING OR ALLEGED TO HAVE ARISEN FROM THE USE OF THE SITE OR SITE CONTENT, INCLUDING WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA, GOODWILL OR OTHER ECONOMIC ADVANTAGE, HOWEVER, SUCH DAMAGES ARISE, WHETHER FOR BREACH OF CONTRACT OR IN TORT (INCLUDING WITHOUT LIMITATION, NEGLIGENCE), EVEN IF ADJV IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend and hold harmless, ADJV, its subsidiaries, affiliates, joint ventures, business partners, licensors, officers, directors, employees, agents, and successors in interest from and against any claims, losses, liabilities, and expenses (including attorneys’ fees) arising from your use of the Site or Site Content, the breach of these Terms or the Policy, and/or any representations or warranties made by you with respect to Submissions (as defined below) made by your or on your behalf to or through the Site.

Your Conduct on the Site  

You agree that you shall not submit, post, introduce, distribute, upload or transmit to or through the Site: (a) material that is illegal, indecent, obscene, libelous, defamatory, disparaging, false, or misleading; (b) unsolicited advertising, promotional material, or other forms of solicitation; (c) material that would infringe or violate the intellectual property, privacy or other rights of third parties; (d) any virus, worm, Trojan horse or other malicious, disabling or destructive code, or (e) a signature, avatar, screen name or other identifiers that impersonates another person or otherwise misleads as to the source of a Submission or posting.  You further agree that you shall not engage in any activity on or in connection with the Site (i) meant to compromise or circumvent Site security, including by way of example and not limitation, the use of any forged TCP/IP headers or header components, or to derive passwords of third parties in an attempt to gain unauthorized access to the Site or ADJV’s systems or data, (ii) that introduces any code or device meant to scrape or otherwise collect Site Content or related Site information, or monitor Site use, or (iii) that unduly stresses the Site, including by way of example and not limitation, mass downloading of Site Content or engaging in or facilitating denial of service attacks on the Site.  Any breach of these provisions by you, or any other unauthorized or prohibited use of the Site or Site Content may subject you to civil liability or criminal prosecution under applicable laws.

Site Submissions by You

The Site may provide opportunities for you to submit information, inquiries, feedback, or other materials to ADJV (each, a “Submission”, and, collectively, “Submissions”).  All Submissions, whether submitted via e-mail, web form or otherwise, irrespective of any legends included in or on such Submissions, shall be deemed non-confidential by ADJV.  By delivering a Submission to the Site, you hereby grant to ADJV a fully paid-up, non-exclusive, perpetual, worldwide, and royalty-free license to use such Submission as ADJV deems appropriate (and subject to any limits on use set forth in the Policy).  You agree that ADJV may reproduce, transmit, distribute, adapt, perform, display, and create derivative works from or based upon your Submission(s).  ADJV reserves the right at any time and without notice to reject, refuse to accept, or post, or delete or remove any Submission.

In the event the Site permits active interchanges among participants – for example, forums, bulletin boards, or other opportunities for parties to share information and ideas – you acknowledge and agree that subject to the immediately following sentence, ADJV is under no obligation to, and may not prescreen, edit, or otherwise review such postings before they are made available through the Site.  Notwithstanding the foregoing, ADJV reserves the right at any time, for any reason and without notice, to remove or delete postings or to shut down any online forums or other exchanges facilitated through the Site.  No such postings shall be deemed to reflect the opinions or views of ADJV, its owners, directors, officers, or employees.  To the fullest extent permitted by applicable law, ADJV shall in no event be liable or responsible to you or anyone else for any such postings.

To the extent you submit any Submission or participate in any Site-facilitated exchange, you hereby represent and warrant that you have all necessary rights in and to all Submissions and postings made by you or on your behalf.  You further represent and warrant that any such Submissions or postings will not infringe, dilute, or constitute a misappropriation of any third party’s copyright, patent, trademark, trade secret, or other intellectual property rights, violate any person’s right of privacy or publicity, or constitute obscene, indecent, unlawful, defamatory, or libelous material.

If you are under the age of 13, you may not register with or otherwise make Submissions to the Site.  If you are over the age of 13, but under 18, Submissions may be submitted on your behalf only with the prior permission of your parent(s) or legal guardian(s).  Any parent or legal guardian agreeing to these rules for the benefit of an individual between the ages of 13 and 18 acknowledges and agrees that he or she is fully responsible for such Submissions, and for any legal liability that may apply under these Terms or the Policy with respect to such Submission(s) or registration or use of the Site by a minor for whom permission has been granted by him or her.

Choice of Law

These Terms are subject to and shall be interpreted in accordance with the laws of the State of Delaware, without regard to its conflicts of law’s provisions.  By using the Site, you waive any claims that may arise under the laws of other states, countries, territories, or jurisdictions, and agree that any dispute, legal action, or proceeding between you and ADJV that concerns or relates in any way to your access and use of the Site, Site Content, Submissions, postings or other material or any information available via the Site shall be brought exclusively in federal or state court, as applicable, in the State of Delaware.  Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis.  Neither you nor ADJV will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

Privacy Policy

ADJV Inc., including its wholly-owned subsidiaries (collectively, “ADJV”), brings a diverse set of capabilities to our U.S. government customers in defense, intelligence, civilian, health care, and state and local markets. Included in our core values are Respect and Accountability. We apply these values to the protection of personal information obtained from individuals through our websites and in the course of doing business. The purpose of this Privacy Notice (the “Notice”) is to provide information about how ADJV collects and uses your personal information, with whom ADJV shares the information, and your rights and choices with respect to the use of the information. The Notice also describes some of the security measures ADJV takes to protect your information and how you may contact ADJV about its privacy policies.

Information ADJV Collects Automatically  

ADJV collects certain information by automated means when you visit our websites:

  • ADJV web servers log your computer’s IP addresses, operating system, and browser software, as well as the pages you access. We use this data, in aggregated form, to perform statistical analyses of the collective characteristics of our visitors and to measure overall user demographics and interests regarding specific areas of the website.  
  • ADJV’s websites use Google Analytics, a web analytics service provided by Google, Inc. (“Google”). Google Analytics uses cookies to collect information to help ADJV analyze how users engage with ADJV’s websites. The cookies transmit the information they collect to Google servers in the United States for storage. Google may also transfer this information to third parties where required to do so by law or where such third parties process the information on Google’s behalf. Google will not associate your IP address with any other data held by Google.
  • ADJV’s websites do not use cookies other than those used by Google Analytics and targeted advertising campaigns run by third-party agencies. You may refuse to accept cookies by clicking on “DECLINE” on our cookie banner. Doing so may affect your ability to use and interact with ADJV’s websites.

How ADJV Uses the Personal Information We Collect

ADJV may use the personal information we collect about you or that you provide to us for the following purposes:

  • Responding to requests for information, including requests made through forms found on our websites;
  • Providing products and services, performing our contracts, and otherwise operating our business;
  • Processing employment applications, evaluating candidate employment qualifications, and contacting individuals regarding employment opportunities where appropriate;
  • Performing human resources functions for ADJV and its employees;
  • Providing marketing, partner, or corporate communication notices;
  • Providing investor and corporate information alerts;
  • Preparing and submitting bids and proposals to customers, including government and private sector entities;

How We Share the Personal Information ADJV Collects

ADJV does not sell, lease, rent, or license the personal information it collects to third parties.

ADJV may disclose personal information to third parties in the following circumstances:

  • To third-party service providers to facilitate the services they provide (for example, third-party payroll processors and auditors);
  • To submit bids for proposals from the government or commercial customers;
  • To perform contractual services for customers (including, for example, with an ADJV subcontractor or a prime contractor for which ADJV is a subcontractor);
  • To protect ADJV’s rights, privacy, safety, or property, and that of its customers, employees, its affiliates, users, and others;
  • To support an investigation of cybersecurity and other security events, espionage, fraud, insider threats, and other illegal activity;
  • In the event of a merger, sale, transfer, or other disposition of all or any portion of ADJV business assets or stock;

  • For any other legal purpose.

ADJV routinely requires the third-party business partners to which it provides personal information to protect and maintain that information in confidence, and not to license, sell or otherwise transfer such information except as directed by ADJV.

Managing Information: Your Rights and Choices

On ADJV’s website, you can sign up to receive certain types of information about ADJV by email. For instance, you may subscribe to receive information about open positions on our Careers website. By signing up, you are joining an “opt-in” list to receive these communications. If you no longer wish to receive these communications, we provide a link for you to unsubscribe from our communications. 

If you request (via email, other written correspondence, or calling the toll-free number below), ADJV will disclose to you your personal information collected by ADJV. If you desire to update, modify, or delete any personal information you have provided via the website, ADJV will take commercially reasonable efforts to fulfill your requests. Please note, however, that ADJV may be required to retain your personal information for purposes of resolving or responding to disputes or litigation, or to provide information to satisfy applicable laws, regulations, investigations, or proceedings. Additionally, your personal information may be retained in residual backup files that are a function of our network’s backup systems.

Transfers of Information

ADJV is headquartered in the United States in the Commonwealth of Virginia, and its business information systems are primarily located in the United States. If you are not located in the United States, we want to advise you that any personal information you provide through ADJV’s website and third-party online services will be transferred out of your country and to the United States. By providing personal information through ADJV’s website and third-party online services, you expressly consent to the transfer of this information to the United States and other countries in which we may operate in support of our customers. If you do not want your personal information transferred to the United States, please do not use ADJV’s website and third-party online services or provide personal information through them.

Children Under the Age of 13

ADJV’s websites and online services are not directed to or intended for children under the age of 13. ADJV does not knowingly solicit, store, or use personal information of children under the age of 13, except as permitted by law. Children under the age of 13 should not register for services or provide any personal information, including name, address, telephone number, or email address to ADJV through its websites or online services. If ADJV becomes aware it has inadvertently collected personal information of children under the age of 13, ADJV promptly will delete such information.

Securing Information

ADJV implements commercially reasonable and appropriate technical, physical, and administrative measures to prevent the loss of, misuse of, disclosure of, alteration of, destruction of, and unauthorized access to the personal information you provide. However, no Internet-based information system is completely secure and ADJV cannot eliminate all security risks associated with the electronic transfer and storage of information, including your personal information.

Third-Party Websites

ADJV’s website contains links to websites operated by third parties to provide users additional information. ADJV does not control the content or operation of third-party sites and makes no representation, warranty, or endorsement with respect to the products or services depicted or offered on such sites.  Your use of such third-party sites will be subject to the terms of use, privacy policy, and other policies as the operators of the sites have established. ADJV is not responsible for these third-party websites or their content or security.  If you link to or from our website using other websites, you should carefully review the privacy policy on those third-party sites to determine what rules may apply to the use and disclosure of your personal information by the operators of those sites.

Changes to ADJV’s Privacy Notice

ADJV reserves the right to amend this Privacy Notice at any time, for any reason, without notice, other than posting of the amended Privacy Notice at this Website. ADJV suggests you check this page regularly to see our most up-to-date Privacy Notice. Changes are effective on the date ADJV posts the revised Privacy Notice to its website and supersedes all previous versions of the Privacy Notice.
